1. Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of QuickVyapar (also referred to as "Quick Vyapar"), operated by Quick Vyapar LLP ("we," "our," "us"), available at quickvyapar.com and related apps or services (the "Platform"). By accessing or using the Platform, you ("you," "user," "Member," or "Seller") agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility

• • You must be at least 18 years old to register and use the Platform.
• • If you use QuickVyapar on behalf of a business or entity, you confirm you have authority to bind that entity to these Terms.
• • The Platform is intended for business users in India (ecommerce sellers, wholesalers, retailers, distributors, and MSMEs).

3. Our Services

QuickVyapar is a business management platform that may include, depending on your plan and settings:

• • Branded online shop / storefront tools (catalog, banners, policies, and shop link)
• • B2B marketplace listings, product posts, and buyer–seller discovery
• • Inventory, orders, quotations, purchases, customers/CRM, and lead management
• • GST / tax settings and related business tools
• • Dashboards, reports, analytics, and (on higher plans) API access
• • Free and paid subscription plans with usage limits

4. Subscriptions, Billing & Refunds

• • Paid plans (such as Basic, Standard, and Enterprise) are offered on monthly or yearly billing cycles. Prices are shown in INR; applicable taxes (including GST) may be charged extra.
• • Plan limits and features apply as described on the Pricing page. Upgrades typically apply immediately; downgrades and cancellations are generally scheduled for the end of the current billing period unless we state otherwise.
• • Payments may be collected via third-party payment providers (for example UPI, card, or bank mandates). You authorize us and our payment partners to charge the payment method you provide for recurring fees until cancelled.
• • Subscription refunds are governed by our Refund Policy (currently a 7-day refund window from the payment date for eligible subscription charges).
• • Refunds or returns for physical goods or storefront orders between buyers and sellers are governed by the seller's own policies — not by our subscription Refund Policy.

You agree to:

• • Provide accurate, current, and truthful account and business information
• • Keep login credentials confidential and notify us of unauthorized access
• • Use the Platform only for lawful business purposes and respect intellectual property and third-party rights
• • Ensure products, prices, taxes, and policies shown on your shop or listings are accurate and lawful
• • Verify the credibility of business transactions and partners independently
• • Not attempt to bypass plan limits, disrupt the Platform, or misuse APIs or automation in a harmful way

7. User Content & License

• • You retain ownership of content you submit (listings, shop media, product data, requirements, and similar materials).
• • By posting or uploading, you grant QuickVyapar a worldwide, non-exclusive, royalty-free license to host, use, display, reproduce, and distribute that content as needed to operate, promote, and improve the Platform.
• • You represent that you have all rights needed to grant this license and that your content does not violate these Terms or applicable law.

8. Intellectual Property

• • QuickVyapar owns the Platform software, branding, logos, designs, and related intellectual property (except your content and third-party materials).
• • You may not copy, reverse engineer, scrape, or exploit the Platform or our marks without prior written permission, except as allowed by law.

9. Privacy & Related Policies

Your use of the Platform is also governed by our Privacy Policy and, for paid plans, our Refund Policy. Those documents are incorporated into these Terms by reference.

10. Disclaimers & No Warranties

The Platform is provided "as is" and "as available", without warranties of any kind (express or implied), including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or specific business outcomes.

11. Limitation of Liability

To the fullest extent permitted by law, Quick Vyapar LLP and its affiliates, officers, and employees will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, data, or goodwill, arising from your use of—or inability to use—the Platform, including disputes between buyers and sellers. Our aggregate liability for claims relating to paid subscriptions will not exceed the fees you paid to us for the subscription period giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Quick Vyapar LLP (and its affiliates, officers, and employees) from claims, damages, and costs arising from:

• • Your use of the Platform or your shop/listings
• • Violation of these Terms or applicable laws
• • Your content, products, or dealings with other users

13. Termination

We may suspend or terminate your access—with or without notice—if you violate these Terms, misuse the Platform, or create risk for us or other users. You may stop using the Platform and cancel paid subscriptions as described in billing settings / our Refund Policy. After termination, we may retain certain data as required by law or for legitimate business purposes described in our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of India. Subject to applicable law, disputes shall be subject to the exclusive jurisdiction of the courts in District and Session Court, Chhindwara, Madhya Pradesh, India.

16. General

• • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• • No waiver: Failure to enforce a right is not a waiver of that right.
• • Entire agreement: These Terms, together with the Privacy Policy and Refund Policy, form the agreement between you and us regarding the Platform.

17. Grievance Officer

Harish Choure is the designated Grievance Officer for QuickVyapar in respect of Platform services, in accordance with the Information Technology Act, 2000 and rules made thereunder.

Any complaints or concerns regarding content on the Platform, or any breach of these Terms, may be directed to the Grievance Officer at:

The Grievance Officer will acknowledge receipt of the complaint and aim to resolve it within the timeline specified under applicable law (generally within 15 days).
